These Terms & Conditions explain how services
provided by STELLOYD OPT. are discussed, agreed,
paid for and delivered.

BEFORE A PROJECT STARTS
The scope comes first.
STELLOYD OPT. provides business process improvement
consulting services. Each project is discussed
around the client’s particular requirement rather
than being treated as a standard package.
The scope, deliverables, fee and any important
project arrangements are agreed before paid work
begins.

About these terms
These Terms & Conditions apply to services
provided by STELLOYD OPT. through this website
and through arrangements made following a
website enquiry.
By submitting an enquiry or requesting a service,
you confirm that you have had an opportunity to
review these terms.
A specific project may also have additional
written arrangements covering its scope,
deliverables, timing or fee. Where those
arrangements have been expressly agreed, they
form part of the agreement for that project.

Our services
STELLOYD OPT. provides business process
improvement consulting services for small and
medium-sized businesses.
Services include process mapping, workflow
optimisation, SOP development, process reviews,
documentation and related consulting support.
The exact service provided will depend on the
requirement discussed with the client and the
scope agreed before the project starts.

Enquiries and consultations
A website enquiry is a request to discuss a
requirement. Submitting an enquiry does not
automatically create a confirmed project or
require payment.
We may contact you after receiving an enquiry
to understand the requirement, discuss the
relevant service and clarify the intended
scope of work.
A consultation or discussion may be used to
establish whether the requested work can be
provided and what would be included.

Scope of work
Each project is based on a defined scope. The
scope may describe the process, workflow,
documentation, consultation or other area of
work being addressed.
The agreed scope may include the service being
provided, expected deliverables, information
required from the client, estimated timing and
the applicable fee.

Work outside the agreed scope will not normally
be included unless it is discussed and agreed
separately.

Project acceptance
After discussing the requirement, STELLOYD OPT.
may provide a tailored quotation or written
project proposal.
The quotation or proposal may set out the
agreed service, project scope, deliverables,
fee and other relevant arrangements.
A project is treated as accepted when the client
confirms their agreement to the proposed scope
and fee through the agreed communication method.

Fees and payment
The applicable fee will be confirmed before
paid project work begins.
Where a service is displayed on the website
with a stated price, that price relates to the
described service and scope. A different or
expanded requirement may be subject to a
separate quotation.
Payment arrangements will be discussed after
the requirement and project scope have been
confirmed.

Starting the project
Project work will normally begin after the scope
has been agreed and the required payment
arrangement has been completed.
Where information, documents, process details
or other material are required from the client,
the project may begin once the necessary
information has been provided.
Project timing may therefore depend on both the
agreed schedule and the timely availability of
information needed to carry out the work.

Client information
Clients are responsible for providing information
that is reasonably relevant to the agreed
project scope.
Information supplied should be sufficiently
accurate and current for the work being
requested.
If important information changes during a
project, the client should let STELLOYD OPT.
know so that the effect on the agreed work can
be considered.

Deliverables
Deliverables are based on the agreed project
scope. Depending on the service, these may
include process maps, workflow observations,
recommendations, SOP documents or other
agreed documentation.
Deliverables are prepared for the business
requirement discussed during the project and
should be considered together with the scope
under which they were produced.
A deliverable does not automatically include
additional work, implementation or ongoing
support unless these have been separately
agreed.

Changes to the scope
A client may request changes or additional work
during a project.
If the requested change materially affects the
agreed scope, deliverables, timing or workload,
STELLOYD OPT. will discuss the change with the
client before carrying out the additional work.
Where an additional fee is required, it will be
agreed before that additional work begins.

Project timing
Any estimated project date or completion period
will be discussed according to the agreed
scope and the information available at the
time.
Timing may change where the project requires
information, feedback or decisions from the
client that are not available when expected.
If a material change to the expected timing
becomes apparent, the revised arrangement will
be discussed with the client.

Cancellation by the client
If a client needs to cancel an agreed project,
they should contact STELLOYD OPT. as soon as
reasonably possible.
Any cancellation and refund arrangements will
be handled in accordance with the applicable
Cancellation & Refund Policy and the terms
agreed for the particular project.
Where work has already started, the position
may depend on the work completed and the
specific arrangements agreed before the project
began.

Cancellation by STELLOYD OPT.
If circumstances mean that an agreed project
cannot reasonably proceed, STELLOYD OPT. will
discuss the position with the client.
Where a refund is due under the agreed
arrangements, it will be handled in accordance
with the applicable Cancellation & Refund Policy.

Intellectual property
Unless otherwise agreed in writing, project
materials prepared specifically for the client
may be used by that client for its own internal
business purposes after the applicable project
fee has been paid.
General working methods, experience, know-how,
templates, approaches and underlying techniques
used to provide the service remain available
for STELLOYD OPT. to use in its wider business
activities.
A client should not present STELLOYD OPT.’s
general materials, templates or methods as its
own unless this has been separately agreed.

Confidentiality
Information shared by a client in connection
with a project will be treated as business
information and handled with appropriate care.
Information will not be intentionally disclosed
to another party unless disclosure is required
to provide an agreed service, required by law,
or otherwise permitted by the client or
applicable arrangements.

Practical nature of our work
Process improvement consulting provides
observations, documentation and practical
recommendations based on the information and
requirements available during a project.
The client remains responsible for deciding
whether and how recommendations are adopted
within its business.
Implementation work, ongoing operational
management or specialist advice outside the
agreed consulting scope is not included unless
specifically agreed.

Website information
We aim to keep the information presented on the
website clear and current. However, website
descriptions are general information unless a
specific service, price or arrangement has been
expressly agreed with a client.
Service availability, scope and pricing may
change over time. Any quotation provided for an
individual requirement will take precedence over
a general website description for that project.

Liability
Services are provided with reasonable care and
attention based on the agreed scope and the
information available to STELLOYD OPT. during
the project.
Nothing in these terms is intended to exclude
or limit any liability that cannot lawfully be
excluded or limited.
Subject to applicable law, STELLOYD OPT. is not
responsible for decisions made independently by
a client or for changes made to a process,
document or recommendation after delivery.

Events outside reasonable control
A project may be affected by circumstances
outside the reasonable control of either party,
such as significant service interruptions,
technical failures or other events that prevent
the agreed work from proceeding normally.
Where this happens, the parties will discuss
a reasonable way to continue, reschedule or
otherwise deal with the affected part of the
project.

Privacy and website data
Personal information submitted through the
website is handled in accordance with the
Privacy Policy.

Governing law
These Terms & Conditions are governed by the
laws of England and Wales.
Any dispute arising in connection with these
terms or an agreed service will be considered
in accordance with the applicable laws and
courts of England and Wales.

time to time to reflect changes to the website,
services or the way projects are arranged.
The current version will be published on this
page and will take effect immediately when
